Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Prestanda LLC, a limited liability company ("Prestanda," "we," "us," or "our"), doing business as Pinpoint Alpha. By accessing or using the Pinpoint Alpha website, email newsletters, dashboards, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

Pinpoint Alpha provides analytical commentary, data visualizations, and AI-generated summaries related to publicly available financial market data, including but not limited to options flow, open interest, dark pool activity, and volatility metrics. The Service is designed to help users understand institutional activity in financial markets.

The Service does not provide:

• Investment advice or recommendations
• Personalized financial planning, tax, or legal guidance
• Solicitations or offers to buy or sell any security, option, or other financial instrument
• Guarantees, predictions, or promises of future financial performance

Any references to specific securities, price levels, trade setups, entry or exit zones, risk/reward scenarios, or directional analysis are structural observations derived from publicly available options and market data. They are provided for informational and educational purposes only and should not be construed as a recommendation to take any specific action.

Prestanda LLC is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities regulatory authority, nor is it registered as a broker-dealer with the Financial Industry Regulatory Authority (FINRA).

The information provided through the Service is not tailored to the investment needs of any specific individual. We do not know your financial situation, investment objectives, risk tolerance, or time horizon. You should not interpret any content from Pinpoint Alpha as personal investment advice.

Before making any investment decision, you should consult with a qualified financial adviser, broker, or other professional who is familiar with your specific circumstances. Past observations, signal accuracy rates, track records, or historical pattern analysis presented through the Service do not guarantee future results.

All investment decisions are made solely by you. You acknowledge that you bear full responsibility for any gains or losses resulting from your investment activities, regardless of whether those activities were informed by content from the Service.

Trading and investing in securities, including options, involves substantial risk of loss and is not suitable for every investor. The value of securities can fluctuate significantly, and you may lose some or all of your invested capital. Options trading, in particular, carries additional risks including but not limited to:

• The potential for total loss of the premium paid for options contracts
• The possibility of losses exceeding your initial investment when writing (selling) options
• Liquidity risk, particularly for out-of-the-money or illiquid contracts
• Rapid time decay that can erode the value of options positions
• Volatility risk, where sudden changes in implied volatility can materially affect options pricing

The analytical signals, scores, and metrics provided by Pinpoint Alpha (including but not limited to FlowScore, market state classifications, convergence signals, key levels, and directional bias indicators) are derived from statistical analysis of market data. These metrics have inherent limitations, may be inaccurate, and should not be relied upon as the sole basis for any investment decision.

Portions of the Service, including daily and weekly email digests, dashboard narratives, and analytical summaries, are generated using artificial intelligence (AI) models. While we design and maintain the prompt architecture, signal inputs, and quality controls, AI-generated content may contain errors, inaccuracies, hallucinations, or misinterpretations of the underlying data.

You should independently verify any information or analysis obtained through the Service before acting on it. We do not guarantee the accuracy, completeness, timeliness, or reliability of any AI-generated content.

The Service may publish historical signal accuracy, alpha call outcomes, hit rates, and other performance data. This information is provided for transparency and educational purposes only. Past performance is not indicative of future results.

Performance data reflects backtested or tracked outcomes of analytical signals, not actual trading results. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Actual trading involves execution risk, slippage, commissions, and other costs not reflected in signal performance data.

Hypothetical performance results have many inherent limitations, including but not limited to the fact that they are prepared with the benefit of hindsight. No representation is being made that any user will or is likely to achieve results similar to those shown.

Access to the Service requires a paid subscription. Subscriptions are billed monthly or annually through our payment processor (Stripe). Prices are as listed on the website at the time of purchase.

New subscribers receive a 7-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial period ends, your payment method will be charged the applicable subscription fee. You may cancel at any time through your account dashboard.

Refunds are handled on a case-by-case basis at our discretion. We reserve the right to change subscription pricing with 30 days' notice to existing subscribers.

You agree not to:

• Redistribute, resell, republish, or share Service content (including email digests, dashboard data, or signal outputs) with non-subscribers, whether for commercial purposes or otherwise
• Scrape, crawl, or programmatically extract data from the Service
• Reverse-engineer, decompile, or attempt to derive the algorithms, scoring methodologies, or proprietary computations used by the Service
• Use the Service to provide competing analytical services or redistribute analysis under a different brand
• Misrepresent Pinpoint Alpha content as your own analysis or investment advice
• Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these terms without refund.

All content, features, functionality, and the underlying technology of the Service — including but not limited to FlowScore, market state classifications, signal scoring methodologies, prompt architectures, dashboard designs, email templates, and analytical frameworks — are the exclusive property of Prestanda LLC and are protected by copyright, trade secret, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial investment research purposes only.

The Service relies on data from third-party providers including but not limited to Polygon.io, FRED (Federal Reserve Economic Data), Finnhub, and FINRA. We do not control these data sources and are not responsible for errors, delays, omissions, or inaccuracies in third-party data.

Market data may be delayed, incomplete, or temporarily unavailable. Options data, including open interest, is typically reported on a one-day delay. The Service should not be relied upon for real-time trading decisions.

To the fullest extent permitted by applicable law, Prestanda LLC, its owners, officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Service.

This includes, without limitation, damages for:

• Investment losses, trading losses, or lost profits resulting from decisions informed by Service content
• Errors, inaccuracies, or omissions in analytical signals, scores, levels, or AI-generated narratives
• Service interruptions, pipeline failures, or delayed delivery of email digests
• Unauthorized access to your account or personal data
• Loss of data, goodwill, or other intangible losses

In no event shall our total liability to you exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Prestanda LLC, its owners, officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your investment decisions, whether or not informed by Service content; (c) your violation of these Terms; or (d) your violation of any applicable law or regulation.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Prestanda LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that any signals, scores, or analytical outputs will be accurate, complete, or predictive of future market behavior.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

Your watchlist selections and account preferences are stored securely. We do not share your personal data or watchlist information with third parties except as necessary to operate the Service (e.g., payment processing via Stripe, email delivery via Resend). See our Privacy Policy for details.

You may cancel your subscription at any time through your account dashboard. Upon cancellation, you retain access to the Service through the end of your current billing period.

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, your license to use the Service ceases immediately.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active subscribers at least 14 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitral decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Prestanda LLC.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prestanda LLC regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
